Terms of Service

These Terms of Service, hereafter "the Terms", govern the use of services provided by Cat Networks K.K., hereafter "Cat Networks", "we" or "our". By ordering or using any of our services, you agree to be bound by the Terms.

1. Services

Cat Networks provides internet infrastructure services, including data center resources, IP transit and other network services, cloud and private infrastructure solutions, and related consulting and engineering work. The specific content, term and fees of each service are defined in the applicable order, quotation or service specification.

2. Accounts and Registration

You must provide accurate and current information when registering and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately if you suspect unauthorized use of your account.

3. Fees and Payment

Fees, billing cycles and payment methods are stated in the applicable order. Unless otherwise agreed, invoices are due by the date stated on the invoice. Overdue accounts may be suspended after reasonable notice. Fees already paid are non-refundable except where required by law or expressly agreed.

4. Acceptable Use

Use of our services is subject to the Cat Networks Acceptable Use Policy, which forms part of the Terms. We may suspend or restrict services immediately where continued operation poses a risk to our network, other customers or third parties.

5. Service Levels and Maintenance

We operate our infrastructure with the goal of continuous availability and monitor all services 24 hours a day, 365 days a year. Planned maintenance is announced in advance whenever possible. Any specific service level commitments are defined in the applicable service specification.

6. Customer Data and Equipment

Data you store on our infrastructure remains yours. Customer-owned equipment hosted in our facilities remains your property and must comply with facility safety rules and applicable law. You are responsible for maintaining backups of your data unless a backup service is expressly included in your order.

7. Confidentiality

Each party will protect the other party's non-public business and technical information with at least the same care it applies to its own confidential information, and will use it only for the purpose of performing the contract.

8. Suspension and Termination

Either party may terminate a service in accordance with the notice period stated in the applicable order. We may suspend or terminate services upon material breach of the Terms or the Acceptable Use Policy, non-payment after notice, or where required by law. Upon termination, we will cooperate in good faith with reasonable migration requests.

9. Warranties and Disclaimers

We perform our services with the professional care of a competent infrastructure operator. Except as expressly stated, services are provided without further warranties, and we do not warrant that services will be uninterrupted or error free.

10. Limitation of Liability

To the maximum extent permitted by law, the total liability of Cat Networks arising out of or related to a service is limited to the fees paid for that service during the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages, including lost profits or lost data, except in cases of willful misconduct or gross negligence.

11. Force Majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, power or telecommunications failures outside its network, war, terrorism, labor disputes and acts of government.

12. Governing Law and Jurisdiction

The Terms are governed by the laws of Japan. Any dispute arising from the Terms or the services shall be subject to the exclusive jurisdiction of the Osaka District Court as the court of first instance.

13. Changes to the Terms

We may amend the Terms by giving prior notice by email and on our website. If you do not agree to an amendment, you may terminate the affected service before the amendment takes effect. Continued use after the effective date constitutes acceptance.
